Resolution

Resolves YES if a founder-CEO (defined as a person who was a co-founder of the brand AND held the CEO or sole-Co-CEO title on 2026-01-01) of any brand ranked in the top 10 of the Circana 52-week tracked-channel functional beverage category as of the most recent Circana report before 2026-01-01, publicly announces their resignation, retirement, or removal from the CEO role on or before 2026-12-31 11:59pm PT. Sources: company press release, board announcement, BevNET / Modern Retail / Bloomberg coverage. Transition to a chairman or executive-chairman role counts as stepping down. Death or incapacitation also counts.
